Our total liability to you for all claims arising out of or relating to the use of the Service shall not exceed the amount paid by you to QuantumArboreum for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
You agree to defend, indemnify, and hold harmless QuantumArboreum and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
These Terms shall be interpreted and governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in North Brabant, Netherlands.
If you are a consumer residing in the European Union, you may be entitled to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.
We encourage you to contact us directly to resolve any disputes. If we cannot resolve a dispute through direct negotiation, any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Netherlands Arbitration Institute (NAI), unless prohibited by applicable consumer protection laws.
We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.
You may terminate your use of the Service at any time. However, termination does not relieve you of any obligations incurred prior to termination, including payment obligations for services already provided.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
